Ripple-backed Evernorth has completed its merger with Armada Acquisition Corp. II, clearing the way for an expected Nasdaq debut on Monday, October 12, under the ticker XRPN.
The transaction closed on October 9, transforming Evernorth into a publicly traded XRP treasury company. Alongside its substantial cryptocurrency holdings, the company secured approximately $300 million in gross cash proceeds before transaction expenses.
The listing introduces a corporate investment vehicle whose performance will depend on more than XRP’s market price. Evernorth plans to actively manage its treasury, pursue opportunities across the XRP ecosystem and increase the amount of cryptocurrency attributable to each outstanding share.
For public-market investors, the question is whether that strategy can generate additional value beyond simply holding XRP.
Inside Evernorth’s SPAC Financing
Evernorth’s transaction combines cryptocurrency contributions with conventional capital-market financing.
Its previously disclosed cash funding came from three sources: private placements, convertible notes and the SPAC’s trust account.

Private placements supplied nearly three-quarters of the disclosed financing components, giving institutional capital a much larger role than the SPAC’s trust account.
The convertible notes introduce a different consideration. Unlike ordinary equity financing, convertible debt may create interest obligations or future dilution, depending on its contractual terms.
The financing breakdown also helps explain why Evernorth’s earlier fundraising announcements referenced a transaction exceeding $1 billion.
That larger figure included XRP contributions and other investments, rather than exclusively new cash. The approximately $300 million reported at closing represents gross cash proceeds, not the total economic value of assets contributed to the transaction.
This distinction matters for assessing Evernorth’s spending capacity. Cryptocurrency holdings provide market exposure, while available cash can support acquisitions, operations and investment activities without requiring an immediate sale of treasury assets.
Why XRPN May Trade Differently From XRP
Evernorth’s equity structure creates a valuation question that direct XRP investors do not face.
The company’s market capitalization can be compared with its net asset value, calculated from its cryptocurrency holdings, cash and other assets after accounting for liabilities.
If the shares trade above that estimated value, investors are paying a premium for Evernorth’s management and potential future returns. A discount would suggest that the market assigns a lower valuation to the company than to its underlying net assets.
Neither outcome necessarily indicates a change in XRP’s fundamentals.
Corporate expenses, financing arrangements, share issuance and investment performance can all influence XRPN independently of the token’s price.
Consider a hypothetical example: if a treasury company increases its XRP holdings by 10% but expands its share count by 20%, its XRP exposure per share declines despite the larger overall treasury.
That calculation illustrates why Evernorth’s stated objective of increasing XRP per share is more informative than reporting token accumulation alone.
The company will need to demonstrate that new financing and investment activity improve per-share economics rather than merely expanding its balance sheet.
This also distinguishes XRPN from a spot cryptocurrency exchange-traded product. Investors will own shares in an operating company pursuing an active strategy, not a fixed proportional claim on a passive pool of XRP.
Ripple Ecosystem Backing Supports an Active Strategy
Evernorth has attracted backing from Ripple, SBI Group, Arrington Capital, Pantera Capital, Kraken and GSR, connecting the company with participants across cryptocurrency trading, infrastructure and institutional investment.
Founder and Chief Executive Officer Asheesh Birla has outlined plans to use Evernorth’s treasury to participate in opportunities throughout the XRP ecosystem.
The strategy could involve deploying capital into financial infrastructure and other activities intended to generate returns beyond changes in the cryptocurrency’s market value.
That approach offers potential upside but introduces additional risks.
Capital deployed through lending, trading or other investment arrangements may be exposed to counterparties, liquidity constraints and operational failures. Returns also need to exceed associated costs to benefit shareholders.
The relevant comparison is not simply whether Evernorth owns more XRP at the end of a reporting period. It is whether the company has improved its net asset value and cryptocurrency exposure on a per-share basis.
Public financial disclosures should eventually provide greater visibility into those results, including treasury movements, liabilities, expenses and the effects of any additional financing.
What Monday’s Nasdaq Debut Will Reveal
XRPN’s first trading session will establish an observable public-market valuation for Evernorth’s combined assets and treasury strategy.
Three measures will be particularly useful: market capitalization, trading liquidity and the premium or discount to estimated net asset value.
A strong opening share price would demonstrate demand for the equity, but would not establish that the company’s underlying investment strategy has generated returns.
Similarly, weak initial trading would not necessarily indicate deterioration in the XRP treasury itself.
Evernorth’s longer-term performance will be determined by its ability to manage financing costs, control dilution and generate additional value from its cryptocurrency holdings.
The Nasdaq listing gives investors a new way to gain exposure to XRP through a corporate structure. Whether XRPN ultimately commands a sustained premium will depend on measurable results, rather than the size of its treasury alone.
