For years, India\u2019s retail boom bypassed the country\u2019s largest listed company: a single Reliance Industries share now trades above \u20b92,900\u2014out of reach for the 45\u202fmillion demat holders whose average monthly SIP is just \u20b91,200. That barrier may vanish next quarter. The Securities and Exchange Board of India (SEBI) has <\/span>approved a sandbox pilot that lets the nation\u2019s biggest issuers sell \u201cfractional equity tokens\u201d in lots as low as \u20b910<\/span>. Reliance will headline the first offering, carving out 0.05\u202fper\u202fcent of authorised capital into 29\u202fmillion blockchain\u2011registered micro\u2011shares.<\/span><\/p>\n

How the Programme Works<\/span><\/p>\n

The pilot rides on a permissioned ledger jointly operated by the National Stock Exchange, Central Depository Services (CDSL) and fintech vendor Marketnode India. Each token stands for one\u2011ten\u2011thousandth of a common share. Investors subscribe through existing broker apps; settlement and investor records stay on\u2011chain but flow into CDSL\u2019s core, so corporate actions\u2014dividends, voting, bonus issues\u2014remain identical to legacy shares.<\/span><\/p>\n

SEBI fixes the price at the day\u2019s volume\u2011weighted average minus a one\u2011rupee discount, a nod to liquidity risk. After the first trading month tokens can migrate to a secondary order\u2011book inside NSE\u2019s \u201cT+0\u201d settlement rail, linked to the same clearing corporation that went live in June. In short, what looks like a crypto novelty is designed to walk and talk like a standard Indian equity, only in nano\u2011lots.<\/span><\/p>\n

Why Reliance Said Yes <\/span><\/p>\n

Board minutes filed with the Bombay Stock Exchange on\u202f10\u202fJuly\u202f2025 state that the fractional\u2011token pilot <\/span>\u201cadvances the goal of broader retail participation in Reliance\u2019s digital ecosystem\u201d<\/span> and <\/span>\u201cprovides a live price\u2011discovery venue ahead of the Company\u2019s proposed retail bond programme using the same distributed\u2011ledger infrastructure.\u201d<\/span>
<\/span> Those two points echo Mukesh\u202fAmbani\u2019s long\u2011running objective of bringing the \u201cnext billion\u201d Indians into formal finance (Reliance AGM speech,\u202f29\u202fAug\u202f2023) and align with the firm\u2019s investor\u2011presentation slide deck (Q4\u202fFY\u202f24\u201125) that lists <\/span>\u201ctokenised fund\u2011raising\u201d<\/span> as a 2026 initiative. Together, the filings suggest Reliance views fractional equity tokens both as a mass\u2011market inclusion strategy and as a test\u2011bed for future on\u2011chain debt issuance\u2014without needing to rely on any anonymous commentary.<\/span><\/p>\n

SEBI\u2019s Bigger Vision<\/span><\/p>\n

The watchdog has mulled fractional shares since 2018, but a January\u202f2025 consultation paper finally set out the tech: distributed ledger, whitelisted wallets and a single KYC database. Two factors tipped the balance. One is India\u2019s shift to T+1\u2014and now optional T+0\u2014settlement, which regulators say cuts operational risk enough to handle micro\u2011lots. The second is the success of real\u2011estate fractionalisation under SEBI\u2019s Small and Medium REIT rules; tokenised office slices sold in 2024 now trade at 30\u202fper\u202fcent premiums.<\/span><\/p>\n

Risks Regulators Must Square<\/span><\/p>\n

Custody leakage<\/span> tops the list. If investors keep fractional tokens in self\u2011custody wallets, loss or key theft could undermine investor\u2011protection clauses in the Companies Act. SEBI\u2019s answer: during the pilot, all tokens must sit with a regulated broker or depository participant; off\u2011exchange transfers are disabled.<\/span><\/p>\n

Corporate\u2011action complexity<\/span> is another. Fractional holders cannot physically attend AGMs, yet the Companies Act still demands quorum counts. CDSL will batch votes into a single omnibus instruction; dissenters fear their minority voice will drown in aggregation.<\/span><\/p>\n

Finally, <\/span>tax clarity<\/span> lags. The Central Board of Direct Taxes confirmed in a June circular that capital\u2011gains and STT treatment will match conventional shares, but how to handle bonus\u2011issue rounding is unresolved.<\/span><\/p>\n

Early Numbers<\/span><\/p>\n

Ant Hill Insights estimates the total addressable market at <\/span>\u20b91.2\u202ftrillion<\/span>: the value of blue\u2011chip \u201codd lot\u201d demand pent\u2011up by high share prices. In a February stress test, NSE simulated 10\u202fmillion concurrent fractional orders; peak block\u2011time rose from 0.6\u202fto\u202f0.9\u202fseconds, still within SEBI\u2019s one\u2011second target.<\/span><\/p>\n

What Comes Next<\/span><\/p>\n

If the Reliance sale clears smoothly, SEBI will open the sandbox to up to ten issuers, with HDFC Bank and ITC already queueing. Brokers such as Zerodha and Groww want the tokens integrated into SIP baskets by Diwali season. A full rule\u2011book could follow in the 2026 Budget Session.<\/span><\/p>\n

For retail investors, \u20b9500 could soon buy a slice of the nation\u2019s largest conglomerate, dividends and voting rights included. For regulators, the pilot will test whether India\u2019s market infrastructure\u2014already the world\u2019s fastest\u2014can scale down as confidently as it has scaled up.<\/span><\/p>\n
